Self Care Wallet

1. Introduction and Acceptance of Terms

Welcome to Self Care Wallet. These Terms of Use ("Terms") constitute a legally binding agreement between you and SCW LLC ("Company," "we," "us," or "our") governing your access to and use of the Self Care Wallet mobile application, website, and all related services (collectively, the "Platform").

By creating an account, accessing, or using the Platform, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Platform.

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on the Platform and updating the "Effective Date" above. Your continued use of the Platform after such changes constitutes your acceptance of the modified Terms.

2. Description of Services

Self Care Wallet is a platform that connects users with wellness businesses. Our Platform provides the following services:

2.1 For General Users

Browse and discover wellness businesses listed in our catalogue; purchase CareDollars (as defined below) using a credit card; gift CareDollars to friends, family members, or other individuals; and access business information and booking links.

2.2 For Business Users

Self-register through the Self Care Wallet Business mobile application; create and manage business profiles; list services and make them available to general users; and receive bookings through their own external websites.

2.3 Booking Clarification

The Platform serves as a discovery and connection service only. When you choose to book a service with a wellness business, you will be redirected to the business's own external website to complete the booking. SCW LLC does not process, confirm, or guarantee any bookings made through third-party business websites.

3. CareDollars

3.1 Definition

CareDollars are a digital credit system that can be purchased through the Platform and gifted to other users for use at participating wellness businesses.

3.2 Purchase and Use

CareDollars may be purchased using a valid credit card through our payment processor, Stripe. CareDollars are denominated in U.S. dollars. Purchases are final and subject to the refund policy outlined in Section 7.

3.3 Gifting

CareDollars may be gifted to any individual, regardless of their relationship to you. Recipients must create a Self Care Wallet account to receive and redeem gifted CareDollars. Once gifted, CareDollars cannot be reclaimed by the original purchaser.

3.4 Restrictions

CareDollars are non-transferable between users except through the gifting feature. CareDollars cannot be exchanged, redeemed, or converted to cash, check, credit, or any other form of monetary value. CareDollars have no cash value and are not redeemable for cash under any circumstances during normal account usage.

3.5 No Expiration

CareDollars do not expire and will remain in your account until used or until your account is terminated in accordance with these Terms.

4. Account Registration and Eligibility

4.1 Account Requirement

You must create an account to access and use the Platform's features, including purchasing CareDollars, receiving gifted CareDollars, and listing a business.

4.2 Eligibility

You must be at least thirteen (13) years of age to create an account and use the Platform. If you are between the ages of 13 and 18, you represent that your parent or legal guardian has reviewed and agrees to these Terms on your behalf.

4.3 Geographic Restriction

The Platform is currently available only to users located within the United States of America. By using the Platform, you represent and warrant that you are located within the United States.

4.4 Account Information

You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

4.5 Account Security

You must immediately notify us at support@selfcarewallet.com if you become aware of any unauthorized use of your account or any other breach of security.

5. User Conduct and Prohibited Activities

You agree not to engage in any of the following prohibited activities:

5.1 General Prohibitions

Violating any applicable federal, state, local, or international law or regulation; using the Platform for any fraudulent or unlawful purpose; impersonating any person or entity, or falsely stating or misrepresenting your affiliation with a person or entity; interfering with or disrupting the Platform or servers or networks connected to the Platform; attempting to gain unauthorized access to any portion of the Platform or any other systems or networks; using any robot, spider, scraper, or other automated means to access the Platform; and collecting or harvesting any information from the Platform without our express written consent.

5.2 Business User Prohibitions

If you are a business user, you additionally agree not to: list services that are illegal, fraudulent, or violate any third-party rights; provide false or misleading information about your business or services; fail to honor CareDollars presented by users at the agreed-upon value; and engage in any deceptive or unfair business practices.

6. Third-Party Services and Disclaimers

6.1 Third-Party Businesses

The Platform displays listings from independent third-party wellness businesses. SCW LLC is not the provider of the wellness services listed on the Platform and does not employ, supervise, or control the listed businesses or their employees.

6.2 No Endorsement

The listing of any business on the Platform does not constitute an endorsement, recommendation, or guarantee by SCW LLC of that business, its services, or the quality thereof.

6.3 No Responsibility for Third-Party Services

SCW LLC is not responsible for and disclaims all liability arising from: the quality, safety, legality, or suitability of any services provided by listed businesses; the accuracy or completeness of business listings, descriptions, or other information provided by businesses; any disputes between users and businesses; any injuries, damages, or losses arising from services provided by listed businesses; and the availability or functionality of third-party booking websites.

6.4 Third-Party Integrations

The Platform may use third-party services, including but not limited to Firebase for backend services and Stripe for payment processing. Your use of such third-party services is subject to their respective terms of service and privacy policies.

7. Payment Terms and Refund Policy

7.1 Payment Processing

All payments for CareDollars are processed through Stripe. By making a purchase, you agree to Stripe's terms of service. You represent and warrant that you have the legal right to use any payment method you provide.

7.2 No Refunds Policy

All purchases of CareDollars are final and non-refundable. We do not offer refunds, exchanges, or credits for CareDollars purchases under any circumstances during normal account usage. You acknowledge that you have no right to a refund of any CareDollars balance remaining in your account.

7.3 Chargebacks

If you initiate a chargeback or payment dispute for a CareDollars purchase, we reserve the right to immediately suspend or terminate your account and pursue all available legal remedies.

8. Intellectual Property Rights

8.1 Our Intellectual Property

The Platform and its entire contents, features, and functionality, including but not limited to all information, software, text, displays, images, graphics, and the design, selection, and arrangement thereof, are owned by SCW LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

8.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable, revocable license to access and use the Platform for your personal, non-commercial use.

8.3 Restrictions

You may not: copy, modify, distribute, sell, or lease any part of the Platform; reverse engineer or attempt to extract the source code of the Platform; remove any copyright or other proprietary notices from the Platform; or use the Platform in any manner that could damage, disable, or impair the Platform.

9. Disclaimers

9.1 "As Is" and "As Available"

THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS, WITHOUT ANY WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. NEITHER SCW LLC NOR ANY PERSON ASSOCIATED WITH SCW LLC MAKES ANY WARRANTY OR REPRESENTATION WITH RESPECT TO THE COMPLETENESS, SECURITY, RELIABILITY, QUALITY, ACCURACY, OR AVAILABILITY OF THE PLATFORM.

9.2 No Warranty

WITHOUT LIMITING THE FOREGOING, NEITHER SCW LLC NOR ANYONE ASSOCIATED WITH SCW LLC REPRESENTS OR WARRANTS THAT THE PLATFORM WILL BE ACCURATE, RELIABLE, ERROR-FREE, OR UNINTERRUPTED, THAT DEFECTS WILL BE CORRECTED, THAT THE PLATFORM OR THE SERVER THAT MAKES IT AVAILABLE ARE FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, OR THAT THE PLATFORM WILL OTHERWISE MEET YOUR NEEDS OR EXPECTATIONS.

9.3 Health and Wellness Disclaimer

THE PLATFORM AND THE SERVICES LISTED THEREON ARE NOT INTENDED TO BE A SUBSTITUTE FOR PROFESSIONAL MEDICAL ADVICE, DIAGNOSIS, OR TREATMENT. ALWAYS SEEK THE ADVICE OF YOUR PHYSICIAN OR OTHER QUALIFIED HEALTH PROVIDER WITH ANY QUESTIONS YOU MAY HAVE REGARDING A MEDICAL CONDITION.

10. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SCW LLC, ITS AFFILIATES, OR THEIR LICENSORS, SERVICE PROVIDERS, EMPLOYEES, AGENTS, OFFICERS, OR DIRECTORS BE LIABLE FOR DAMAGES OF ANY KIND, UNDER ANY LEGAL THEORY, ARISING OUT OF OR IN CONNECTION WITH YOUR USE, OR INABILITY TO USE, THE PLATFORM, INCLUDING ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO, PERSONAL INJURY, PAIN AND SUFFERING, EMOTIONAL DISTRESS, LOSS OF REVENUE, LOSS OF PROFITS, LOSS OF BUSINESS OR ANTICIPATED SAVINGS, LOSS OF USE, LOSS OF GOODWILL, LOSS OF DATA, AND WHETHER CAUSED BY TORT (INCLUDING NEGLIGENCE), BREACH OF CONTRACT, OR OTHERWISE, EVEN IF FORESEEABLE.

IN NO EVENT SHALL OUR AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE USE OF OR INABILITY TO USE THE PLATFORM EXCEED THE AMOUNT YOU HAVE PAID TO US FOR CAREDOLLARS IN THE TWELVE (12) MONTHS PRIOR TO THE EVENT GIVING RISE TO THE CLAIM.

11. Indemnification

You agree to defend, indemnify, and hold harmless SCW LLC, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, licensors, suppliers, successors, and assigns from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: your violation of these Terms; your use of the Platform; your violation of any third-party right, including any intellectual property or privacy right; any dispute between you and a third-party wellness business; and any claim that your use of the Platform caused damage to a third party.

12. Account Termination

12.1 Termination by You

You may terminate your account at any time by contacting us at support@selfcarewallet.com. Upon termination, any unused CareDollars in your account will be forfeited and will not be refunded.

12.2 Termination by Us

We may suspend or terminate your account immediately, without prior notice or liability, for any reason, including but not limited to: violation of these Terms; fraudulent, abusive, or illegal activity; upon request by law enforcement or other government agencies; unexpected technical issues or problems; and extended periods of inactivity.

12.3 Effect of Termination

Upon termination of your account by us due to fraud or violation of these Terms, any unused CareDollars in your account will be refunded. We will contact you at the email address associated with your account to obtain your bank account information for processing the refund. If we are unable to contact you or if you fail to provide the necessary banking information within sixty (60) days, your right to the refund will be forfeited.

12.4 Survival

The following sections shall survive termination: Intellectual Property Rights, Disclaimers, Limitation of Liability, Indemnification, Governing Law and Dispute Resolution, and any other provisions that by their nature should survive termination.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law provisions.

13.2 Dispute Resolution

Any dispute arising from or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith informal negotiations. If the dispute cannot be resolved through informal negotiations within thirty (30) days, either party may pursue formal legal proceedings.

13.3 Venue

Any legal action or proceeding arising under these Terms shall be brought exclusively in the federal or state courts located in Delaware, and you hereby consent to personal jurisdiction and venue therein.

14. General Provisions

14.1 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and SCW LLC regarding the Platform and supersede all prior agreements, understandings, and communications.

14.2 Waiver

No waiver by SCW LLC of any term or condition set out in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition.

14.3 Severability

If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable, and the remaining provisions shall continue in full force and effect.

14.4 Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may freely assign these Terms without restriction.

14.5 No Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any person.

14.6 Notices

All notices to SCW LLC should be sent to support@selfcarewallet.com. We may provide notices to you via the email address associated with your account or through the Platform.

16. Acknowledgment

BY CREATING AN ACCOUNT OR USING THE PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ THESE TERMS OF USE, UNDERSTOOD THEM, AND AGREE TO BE BOUND BY THEM. IF YOU DO NOT AGREE TO THESE TERMS, YOU ARE NOT AUTHORIZED TO USE THE PLATFORM.
